Data Processing Addendum

1. Scope and Purpose
This Data Processing Addendum ("DPA") forms part of the Terms of Use between you ("Client") and EXPRE Digital Ltd ("Processor" or "we") and sets out the terms on which the Processor processes personal data on behalf of the Client in accordance with the UK General Data Protection Regulation (UK GDPR) and applicable data protection laws.
2. Definitions
- Personal Data: Any information relating to an identified or identifiable natural person
- Processing: Any operation performed on personal data such as collection, recording, storage, or use
- Data Subject: The individual to whom personal data relates
- Controller: The natural or legal person who determines the purposes and means of processing (the Client)
- Processor: The natural or legal person who processes personal data on behalf of the Controller (EXPRE Digital Ltd)
3. Role of Parties
The Client acts as the Data Controller and determines the purposes and means of processing personal data. EXPRE Digital Ltd acts as the Data Processor and processes personal data only on instructions from the Client and for the purposes specified in the Terms of Use.
4. Scope of Processing
The Processor shall process personal data only for the purposes of providing the Service as described in the Terms of Use and only in accordance with the Client's documented instructions. The Processor shall not process personal data for any other purposes without prior written consent from the Client.
5. Processing Instructions
The Processor shall process personal data only on documented instructions from the Client, including regarding international transfers of personal data. If the Processor believes a Client instruction violates data protection law, it will inform the Client without delay.
6. Personnel Confidentiality
The Processor ensures that persons authorized to process personal data have committed to confidentiality or are under an appropriate legal obligation of confidentiality.
7. Security Measures
Taking into account the state of the art, the costs of implementation, and the nature, scope, context and purposes of processing, the Processor implements and maintains appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including inter alia:
- Encryption of personal data in transit and at rest
- Pseudonymization and encryption where appropriate
- Ability to ensure the ongoing confidentiality, integrity, availability of processing systems
- Ability to restore availability and access to personal data in a timely manner in the event of an incident
- Regular testing of security measures
8. Sub-processors
The Processor may engage sub-processors to process personal data on its behalf. A current list of authorized sub-processors is available upon request. The Processor will inform the Client of any intended changes concerning the addition or replacement of sub-processors, giving the Client the opportunity to object on reasonable grounds.
9. Data Subject Rights
The Processor shall, taking into account the nature of processing, assist the Client through appropriate technical and organizational measures in fulfilling the Client's obligation to respond to data subject rights requests, including requests for access, rectification, erasure, and portability.
10. Assistance with Compliance
The Processor shall assist the Client in ensuring compliance with Articles 32-36 of the UK GDPR, including:
- Conducting Data Protection Impact Assessments (DPIA)
- Providing information for privacy notices
- Assisting with breach notification procedures
- Providing technical and organizational security information
11. Data Breach Notification
The Processor shall notify the Client without undue delay and, in any case, within 24 hours of becoming aware of a personal data breach affecting data processed under this DPA. The notification shall include details of the breach and contact information for further inquiries.
12. Deletion or Return of Data
At the Client's choice, the Processor shall delete or return all personal data after the end of the provision of services, unless applicable law requires further storage of the data.
13. Audit and Inspection Rights
The Client has the right to conduct audits and inspections of the Processor's processing activities, either directly or through an auditor or competent third party, subject to reasonable notice and confidentiality obligations.
14. International Data Transfers
If the Processor transfers personal data outside the United Kingdom, it shall implement appropriate safeguards such as Standard Contractual Clauses approved by the UK Government, Binding Corporate Rules, or other mechanisms as recognized under applicable data protection law.
15. Data Protection Impact Assessment
The Processor shall provide all information necessary to demonstrate compliance with this DPA and allow for and contribute to audits, including inspections conducted by the Client or on the Client's behalf.
16. Term and Termination
This DPA shall remain in effect for the duration of the Terms of Use. Upon termination or expiration, the Processor shall delete or return all personal data as instructed by the Client, or demonstrate that it no longer holds the personal data, unless applicable law requires further storage.
17. Liability
The parties acknowledge that liability for breaches of this DPA is governed by the applicable liability provisions in the Terms of Use.
18. Amendment
This DPA may be amended by EXPRE Digital Ltd with 30 days' written notice to the Client. The Client may terminate the Service if it objects to any amendment.
19. Entire Agreement
This DPA, together with the Terms of Use, constitutes the entire agreement between the parties regarding the processing of personal data and supersedes all prior agreements and understandings.
20. Governing Law
This DPA shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflicts of law principles.
